ACCEPTANCE OF CLEANING SERVICES TERMS and CONDITIONS (Agreement)

1.PREAMBLE.
These Terms and Conditions (Agreement) govern the provision of Cleaning Services by The Joyce of Cleaning ( Pty) Ltd.

1.1.1.By booking, confirming or receiving our services, you agree to be bound by The Joyce of Cleaning (Pty) Ltd Acceptance of Cleaning Services Terms and Conditions ( Agreement).

1:1:2.All Cleaning Appointments must be booked through our online booking system or by WhatsApp message, phone call or via email.
A confirmation email or message will be sent to the Client once the Appointment is scheduled.

We reserve the right to cancel or reschedule a Cleaning Appointment in the event of unseen Circumstances ( eg illness, Equipment malfunctioning, weather conditions, etc).
In such cases will notify the Client as soon as possible and work to reschedule at the earliest convenient time.

1.2.Services Provided.

We offer Professional Residential and Commercial Cleaning Services, among others.

2: TERMS

2:1.Interpretation.
2:1:1. In this Agreement/ Acceptance of Terms and Conditions, Clause , headings, are for convenience and shall not be used in its interpretation unless the context clearly indicates a contrary intention.

2:1:2.An expression which denotes.

2:1:2:1.Any Client includes the other Customer.

2:1:2:2.Singular includes the plural and vice versa.

2:1:3.The following expression shall bear the meanings assigned to them below.

2:1:3:1.”Acceptance of Cleaning Services Terms and Conditions” means the Agreement as set out and contained herein together with any appendices hereto.

2:1:3:2.”Commencement date” means the date of signature of this Agreement of the Party signing the last in time.

2:1:3:3:1.The Joyce of Cleaning (Pty) Ltd with the Registration number 16579720, a Private Company, duly incorporated in terms of the Companies Act 2006, with its Physical Address situated at:

Hunslet
Leeds
LS10 1GD.
United Kingdom ( UK).

2:2. DEFINITION.
Cleaning Services in this context is thorough removal of wastes either due to Human Activities or else from dwellings Structures not only limited to domestic Structures BUT also extended to both Commercial and Industrial Properties.

2:3.MONETARY COMMITMENT PACKAGES.

a).Labour Costs.
Labour costs are only to cover Labour Costs incurred during execution of Cleaning Services.
This Cost does not include Cleaning materials Costs.

The Labour Costs fall under different Packages as indicated below.
i).Once off Package.
ii). Weekly Package.
iii). Fortnight Package.
iv). Monthly Package.

b). Cleaning and Supply Costs.

These Costs include both Cleaning labour costs and Material ( Cleaning Chemicals) costs.

It also falls under different Packages as indicated below.
i).Once –Off Package.
ii). Weekly Package.
iii). Fortnight Package.
iv). Monthly Package.

2:4.INITIAL DEPOSIT.
a). Payment should be done after signing all relevant documentation pertaining to the Cleaning Activity to be undertaken.

b).All relevant documentation should be signed or validated at the Client Site unless otherwise.

c).Work starts upon receipt of 50% deposit.

d).No work should start if 50% of deposit is not yet reflecting in the Company Account or otherwise.

e). Irregarless of the Client economic status all Clients are equal before the Company ( The Joyce of Cleaning (Pty) Ltd, no benefit of doubt should be given to the Client.

f)(a).We accept payments via CREDIT/ DEBIT Cards, Bank Transfer and Bank Deposits.

f)(b).Our Banking Details are indicated on the issued ” TAX INVOICE” ( 02/02(a)F/03)

2:5.BALANCE PAYMENT.

a). Upon Completion of the agreed upon Cleaning Exercise, the balance owed to the Company becomes due and payable.

b).”Cleaning Services Done Satisfactory Form (03/02F/10(b)) should be also completed by the Client to justify Pay

ment of Outstanding balance.

c).Delayed Balance Payment will incur a fee of £10,00 (Ten Pounds )per day as per that current year.

2:6.BILL OF QUANTITIES (BOQ).
a).It is the responsibility of the Company to establish the Bill of Quantities BUT at a Cost.
b).The Company Quotations are for Labour Costs only, Chemicals and Materials not included unless otherwise.
c).It is the responsibility of the Client to buy all Cleaning Chemicals of his or her own choice for the proposed Cleaning exercise at his or her Homestead/ locality /Properties.
d).All Cleaning materials for the proposed Cleaning exercise should be purchased once and Quantities should be adequate.

2:7.CLEANING MATERIALS or CHEMICALS DELIVERY ISSUES.
It is the responsibility of the Client to make sure that all Cleaning materials or Chemicals for the Cleaning exercise are delivered to his or her Homestead/ locality/ Properties, unless otherwise.

2:8.CLEANING EQUIPMENT or MACHINERY.
a).It is the responsibility of the Company to bring all Cleaning Equipment for the proposed Cleaning exercise.
b).It is the responsibility of the Company to bring all Cleaning machinery for the proposed Cleaning exercise.

2:9.NATURE OF CLEANING CONTRACTS.

The Joyce of Cleaning (Pty) Ltd has two broad types of Cleaning Contracts thus,

a).Short Term Contracts.
i).One day Contract.
ii).Weekly Contract.
iii). Fortnight Contract.
iv). Monthly Contract.

b).Long Term Contracts.
i).Three months.
ii).Six months.
iii).Nine Months.
iv). Twelve months.
v) more than twelve months.

2:10.LIABILITY and INSURANCE.

a).The Company is also insured against all odds which may arise during Cleaning exercise.
b).All Cleaning Company Staff is also insured.
c).The Insurance covers any potential damages to Property caused by our Cleaners.
d).The Company is insured by INSYNC INSURANCE.
e). However the Client must report any property damage or breakages or loss within 24 hours of Cleaning Services for a Claim to be considered.
f) We regret to advise that, we are not responsible for pre-existing damages or conditions in the property.In this case we make the Client aware of such conditions through completion of the form”Noted Discrepancies Form”( 03/02F/04(c).

2:11. PUBLIC LIABILITY INSURANCE.
a).The Company has a Public liability insurance.
b).This Insurance covers the Public which might be affected by our operations.
c).This is also underwritten by INSYNC INSURANCE .

2:12. PROVISION OF ACCURATE CLEANING INFORMATION.

a).It is the responsibility of the Client to provide accurate information pertaining to the execution of Cleaning exercise to be undertaken.

b).The Company cannot be held accountable for wrong execution of the Cleaning exercise due to wrongly supplied information.

2:13.UNDOCUMENTED CLEANING TASKS.
a).The Company regrets to advise that all undocumented Cleaning tasks cannot be attended.This is not negotiable please.
b).All undocumented tasks require a new Agreement in order to receive Attention.

2:14. ERRORS/ SHORTFALLS.

Errors or mistakes arising from prior wrong instructions or information given the Company should not be held responsible or accountable.

2:15.CLEANING RATES.
a).The Company may Quote Cleaning rates per hour as per that current year.
b).The Company may Quote Cleaning rates as per square metre as per that current year.


2:16 CLIENT CLEANING DUTIES.
a).It is the responsibility of the Client to shift his or her furniture if there is need to do so.

b). It is the responsibility of the Client to make sure all electrical connections are unplugged off if there is need to do so.

c).It is the responsibility of the Client to make sure all doors are opened if the Cleaning Activity is inside or indoors.

d).It is the responsibility of the Client to make sure that if the Cleaning Activity is indoors the room is well ventilated ie Windows wide open.

e).It is the responsibility of the Client to switch on fixed Cooling Fans to aid ventilation process.

f).It is the responsibility of the Client to lock up his or her pets during the Cleaning Activity.

g).It is the responsibility of the Client to remove his or her Curtains if the Windows are being cleaned.

h).It is the responsibility of the Client to remove all Wall Hangings if the Cleaning Activity is directed on Walls.

i).It is the responsibility of the Client to remove all lights on the Ceiling if the Cleaning Activity is directed on the Ceiling.

j).It is the responsibility of the Client to make sure all valuables ( money, electronic gadgets, jewelry etc) are secured or put under lock and key.

k).It is the responsibility of the Client to make sure that the outside working environment is safe for any Cleaning Activity to be undertaken.

l).It is the responsibility of the Client to make sure that all obstacles are removed from areas designated for Cleaning.

2:17.CONSENT TO THE USAGE OF IMAGES DECLARATION.
a).The Company through its Cleaning Services Supervisor may take images of both ongoing Cleaning Activity or Completed or finished Cleaning Work.

b).The Company may post these images on its various Social media platforms for its advertisement and marketing purposes.

c).The Company may flight these images on its Website.

d).Under no circumstances would the Client later on demand any form of Compensation whatsoever.

2:18.CONSENT TO USAGE OF VIDEOS DECLARATION.

a).The Company through its Cleaning Services Supervisor may take videos of both ongoing Cleaning Activity or Completed Cleaning or finished work.

b).The Company may post these videos on its various social media platforms for advertisement and marketing purposes.

c).The Company may flight these Videos on its You Tube channel.

d).Under no circumstances would the Client later on demand any form of Compensation whatsoever.

2:19. CONSENT TO INSTALLATION OF COMPANY TAG DECLARATION.

a).Upon Completion and Certification of Cleaning Activities by the Client, the Company may install its TAG as a form of identifying itself with the finished cleaning Activities if it is outside only.

b).Under no circumstances would the Client later on demand any form of Compensation whatsoever.

2:20.COMPLAINTS PROCEDURE.
a).The Client has the right to Re- address if she or he is not satisfied by the way the Cleaning work was executed or how the finished cleaning work looks like.

b).The Client would notify the Company through its Cleaning Services Supervisor of such arisings or issues.

c).The Company would rectify the mistakes free of charge within a period of 12 hours.

d). Failure to reach a common ground or general consensus or amicable solution the Client has the right to approach any relevant Accreditation Body to which the Company is Accredited and lodge a complain against the Company.

2:21.QUERIES or QUESTIONS.

a).Any query or Question pertaining to the execution of the Cleaning by the Client should be directed to the Cleaning Services Supervisor.

b).The message may be in the electronic format ie sms/ email/ black and white.

c). Queries presented verbal ly will not be attended at all. This is not negotiable please.

2:22.COMPANY OFFICE VISITATION.
a). When coming to the Office for enquiries pertaining to the Cleaning exercise done or being done , the Client to bring his or her “Cleaning Activity Task Card”(02/03(a)—CATC–01) as a form of Identification.

b). Without presentation of the Cleaning Activity Task Card there is no audience from Company Administrative Staff.This Condition is not negotiable please.

2:23 CLIENT REFERENCE NUMBER.
a).When contacting the Office in connection with any Cleaning exercise already done or being undertaken always Quote your Client Reference number.

b).No audience pertaining to an on going cleaning exercise if the Client Reference number is not pronounced first.

2:24.CHANGES TO THE AGREEMENT/ ACCEPTANCE OF TERMS AND CONDITIONS.

This Agreement/ Acceptance of Terms and Conditions cannot be amended unilateral without the consent of the other Party involved.

2:25. MISREPRESENTATION.

a).No promise of any nature made by the Company Directors, Managers, Supervisors, Cleaners, Casual Workers, Drivers, Marketing Agents, etc shall be honoured unless reduced in writing.
Also the Agreement/ Acceptance of Terms and Conditions should be validated by both Parties involved.

b).No promise of any nature made by the Client or Client Agent shall be honoured unless reduced in writing.
Also this Agreement/ Acceptance of Terms and Conditions should be validated by both Parties involved ( Client and Company).

c).The Joyce of Cleaning (Pty) Ltd does not honour or recognise VERBAL AGREEMENTS.This is not negotiable.

d).The Joyce of Cleaning (Pty Ltd does not implement or execute VERBAL AGREEMENTS. This is not negotiable please.

2:26.ROLE OF SMALL EVENTS.

a).These are extenuating circumstances which might put the Cleaning exercise operations to a halt.

b).These may include natural disasters, civil unrest, fire outbreaks indoors, work related accidents,etc.

c).Both Parties should acknowledge the role of small events.

d).These circumstances beyond Human control warrants dates adjustments to the Cleaning exercise under Implementation.

e).As always the adjustment to the Cleaning exercise should be reduced in writing and acknowledged by both Parties.

f).Time frames agreed upon may change due to the role of small events eg accidents at workplace, environmental conditions prohibiting outside Cleaning exercise, load shedding, COVID -19 restrictions, etc.

g). Circumstances beyond Human control.

2:27.THOROUGH CLEANING INSPECTIONS.

a).The Client or Client Agent to do a thorough Cleaning Inspection of the finished or just concluded Cleaning exercise.

b). Double checks/ Inspections are highly desired before the Company is released from the Client Site.

2:28.LATER DISCOVERIES.

a).The Company regrets to advise that later discoveries pertaining to unsatisfactory done Cleaning exercise is not entertained at all.

b).The later discoveries would be treated as new Cleaning exercise and to be executed following Company procedures.

2:29.CLEANING MATERIALS SHORTAGES.

a).If from the Client side, any cleaning material shortage during cleaning exercise implementation should be rectified within 12 hours .

b) Any anticipated shortfall should be reported to the Client at earliest convenient or two days in advance depending on the nature of cleaning Activity.

c) .Failure to deliver shortage Cleaning material does not shift further the agreed upon finishing dates.

d) Cleaning materials indicated on the Bill of Quantities should be only supplied to the Client site.

2:30.DISPUTE RESOLUTION.

a)In the event of a dispute arising between the Company and Client during cleaning exercise implementation it should be resolved amicably.

b). Failure to reach the amicable solution an Arbitrator must be engaged or visiting the nearest Police Station where they also deal with conflict management and crisis resolution.

c). Both Parties to agree on the Arbitrator to be engaged.

d). Decision of the Arbitrator is final and both Parties should accept it .

e).If dispute is due to unpaid invoices or breach of contract( if amount is below £10,000) , it could involve Small Claims Court.

2:31.SIGNATORY TO THE AGREEMENT/ ACCEPTANCE OF TERMS AND CONDITIONS.

This Agreement or Acceptance of Terms and Conditions recognizes the signatory to this Agreement/ Acceptance of Terms and Conditions as the only legal persona/ entity who is authorized to implement this Agreement or Acceptance of Terms and Conditions.

2:32.QUESTION OF EXCESS CLEANING MATERIALS.

a).Unused cleaning material belongs to the Client .

b).Unused cleaning material should be returned to the Client.

c).Unused Cleaning material include opened halves and unopened cleaning materials.

2:33. WASTING CLIENT CLEANING MATERIALS.

a).Under no circumstances should Cleaners waste Client Cleaning Materials during the cleaning exercise.

b). Cleaners should use Client cleaning material efficiently and effectively thus minimizing wastage at all Costs.

2:34.CLIENT EQUIPMENT/ MACHINERY.

a).Under no circumstances should the Company use Client equipment or machinery during the execution of cleaning exercise.

b). Client equipment or machinery which might impede Cleaning exercise implementation should be removed from the cleaning Site or areas designated for cleaning.

c). Equipment/ machinery removal is the responsibility of the Client.

d). Custodianship of the removed or shifted Equipment or Machinery lies with the Client.

2:35.CANCELLATION OF THIS AGREEMENT.

In the event that the Client has decided to terminate this Agreement or Acceptance of Terms and Conditions reasons best known to him or her ,the following is applicable :
a).10% handling fee is budded off from the initial deposit already paid.
This 10% is for the whole quoted cleaning exercise value.

b). The balance due to the client is paid immediately into the Client nominated bank account thus within 48 hours after such receipt of such cancellation.

2:36.CHANGING CLEANING SCHEDULE WITHOUT ADVANCE PRIOR NOTIFICATION.

a). The Client has the right to change the agreed upon Cleaning Schedule due to the role of small events or any arising or unforeseen circumstances.

b). The client has to notify the Company within 24 hours in advance.

c). In the event that the Client is now notifying the Company already at the Site that there are some changes to the Cleaning Schedule,the Client to pay the costs incurred by the Company for that particular day.

d). The amount to be paid is agreed upon by both Parties involved thus the Client and Company .

e).This has to be paid to warrant the resumption of the cleaning exercise already interrupted.

2:37.AGREEMENT/ ACCEPTANCE OF TERMS AND CONDITIONS INTERPRETATION.

The meaning of any term or clause on this Agreement / Acceptance of Terms and Conditions is only interpreted by the Company as it has been already defined in the Company “Definition of Terms Handbook”.

2:38.PENALTIES.
a). Penalties may either arise from the Company or Client.
b).No Party should be prejudiced by the negligence of the other Party in the
implementation of the cleaning exercise.

c). Penalties arising from missing deadlines or non supply of materials on time should be agreed upon by both Parties involved thus the Client and the Company.
1.Missing deadline ie £10.00 /day as per that current year.

2.Delay in supplying Cleaning materials resulting in the shifting of deadline ie £15,00/ day as per that current year.

d). Returnable ( if so) penalty fee should be paid, when the Agreement/ Acceptance of Terms and Conditions are signed.

2:39. RECEIVED CLIENT CLEANING MATERIALS.
a).All received Client Cleaning Materials meant for the Cleaning exercise should be noted down into “Received delivered Cleaning materials Register”(03/02R/01(j)(01)).

b).No diversion of Client Cleaning Materials to other uses.

c).Proof of purchase ( if so) and Supply should be noted down.

d).No stolen Cleaning materials/ Chemicals should be accepted.

2:40.MATERIAL SAFETY DATA SHEETS (MSDS).

a).All Materials Safety Data Sheets accompanying Cleaning Chemicals should be validated by both Parties involved ie Client and Company.

b).The MSDS should be kept for at least a period of 60 months.

2:41.COMMUNICATION CHANNEL

a).At all costs the communication channel established between the Company and the Client should be followed.

b).The Client may Communicate either to the Cleaning Services Supervisor or Office Admin depending on the nature of the matter under Communication.

2:42.IMPLEMENTATION SCHEDULE ( 03/02–IS–01(a)).

a).Every part of the Implementation Schedule should be completed first before the Cleaning exercise kicks off.

b).It should be validated by both Parties involved ie Client and Company.

c).It should be followed without any amendments or changes.

d).The Company is required or expected to stick to the Implementation Schedule agreed upon by both Parties ie Client and Company.

e). Challenges being encountered in trying to Implement Cleaning exercise Activities on the Schedule should be raised with the Client immediately before it’s too late.

2:43.CLEANING DONE SATISFACTION.

The Client to complete the following form “Cleaning Services Done Satisfactory Form”(03/02F/10(b)).

2:44. COMPANY ACCREDITATIONS.

a).The Joyce of Cleaning (Pty) Ltd as an entity on its own is Accredited to various Statutory bodies of the Republic of United Kingdoms( UK).

b) The Client reserves the right to verify Company Accreditations being pronounced before effecting any required Payment.

2:45.DEVIATIONS.
a).Under no circumstances should Parties involved in this cleaning exercise deviate from this Agreement or Acceptance of Terms and Conditions.

b). In the event of deviation all Parties involved to agree and it should be reduced in writing.

c) Intention to deviate from the agreed upon terms should be communicated at earliest convenience on time to other Parties involved.

d). Deviation communication time should at earliest convenient or two days in advance.

e). Deviation does not include extension of finishing dates of the Cleaning exercise unless they are extenuating circumstances beyond Human Control .

2:46.FAVOURS OR CORRUPTION BENEFITS.

a).In this Agreement / Acceptance of Terms and Conditions there are no FAVOURS to be done.

In most cases is ” WOULD YOU MIND DOING THIS FOR ME”.

b). Only registered or documented tasks to be done.
This is not negotiable please.

2:47.ALLOCATED HUMAN RESOURCES /WORKFORCE.

a).At all costs the Company should ensure that adequate Workforce is allocated to the Cleaning exercise under implementation .

b) .All expected expertise should be at the Site during cleaning exercise incrementation.

c).No learning on Client cleaning exercise.
This is not acceptable at all.

2:48.COMPETENT CLEANERS.

a). It is the responsibility of the Company to deploy competent Cleaners to the Site.

b).The Client reserves the right to verify the competence and experience of the allocated or deployed Cleaners to his or her Site.

2:49.CLEANING EXERCISE STARTING TIMES.

a) .The starting times should be agreed upon by both Parties involved ie Client and Company.

b).Both Parties by all means necessary and also at all Costs should adhere to the Starting Times

2:50.KNOCKING OFF TIMES.
a).The knocking off Times should be agreed upon by both Parties involved ie Client and the Company.

b).Both Parties by all means necessary and also at all Costs should adhere to the knocking off Times.

2:51.LUNCH TIMES/ BREAK TIMES.
a).Lunch/ Break Times should be agreed upon by both Parties involved ie Client and Company.

b).Both Parties by all means necessary and also at all Costs should adhere to the agreed upon Lunch/ Break Times duration.

2:52.TERMS OF REFERENCE.

a).This Agreement/ Acceptance of Terms and Conditions forms the terms of reference to be used during Cleaning exercise implementation.

b).It is a referral point which is used now and then during the Cleaning exercise implementation.

c). Anything outside this Agreement/ Acceptance of Terms and Conditions cannot be implemented or executed.

d).Any misunderstanding arising during the course of Cleaning Exercise Implementation this Agreement/ Acceptance of Terms and Conditions should be quoted or referred or consulted.

2:53.CUSTODIANSHIP OF CLIENT MATERIALS.

a).The Client to provide Storage Facility of Cleaning Chemicals or Materials.

b).Upon acknowledgement of the receipt of Client Cleaning Materials Custodianship lies with the Company.

c). Missing Client Cleaning Chemicals or Materials due to unclear Circumstances the Responsibility to replace lies with the Company.

2:54.HOUSEKEEPING.

a).It is mandatory that everyday there should be Housekeeping at the end of each and every day.

b). Housekeeping is done daily.

c).It is the responsibility of the Company to dispose wastes from the undertaken Cleaning exercise.

2:55.CLIENT AGENT DESIGNATION .

a).The Client to appoint an Agent to represent him or her during Cleaning exercise execution.

b).The Client Agent would be always available on Cleaning Site during the Cleaning exercise implementation.

2:56.RISK ASSESSMENT.
a). Before the onset of the Cleaning exercise, Risk assessment should be done first.

b).The Cleaning Services Supervisor should certify that the Site area is free from possible dangers or hazardous risks.

c).Safety Site induction session to be conducted for the Cleaner / Casual Workers.

2:57. STATUTORY COMPLIANCE.
a).Under no circumstances should Company operate using expired Accreditations.

b).The Client reserves the right to Cross Check Company Accreditations in terms of Compliance.

c).Also the Client to comply with the promulgated Cleaning Compliance of the Republic of United Kingdoms (UK).

2:58.FINAL INTERPRETATION

The final interpretation of any word or phrase or clause in this Agreement/ Acceptance of Terms and Conditions lies with the Company.

2:59.DEMOLITION OF TEMPORARY STRUCTURES.

a).Upon folding of the Cleaning exercise all temporary Structures eg Scaffolding platforms which would have been set should be demolished.
b).It is the responsibility of the Company to demolish its once set up Structures.

c). Temporary Structures Materials belong to the Company not to the Client.

d).No temporary Structures Materials should be left at the Client Site..

2:60.CLEANING EXERCISE SIGNAGE.

a).It is the responsibility of the Company to see to it that the relevant signage is in place.

b).Signage should be very visible to both the Workforce and General Public.

c).Signage should be very appropriate and informative.

d). Before the onset of the Cleaning exercise signage should be put in place first.

e).It is the responsibility of the Company to make sure that the Signage is always in place during Cleaning exercise implementation.

f).Safety Notices, etc are mandatory to any Cleaning exercise under implementation.

g). Lastly informative Bill boards to be erected where it captures maximum Attention.

2:61.CLEANING EXERCISE SAFETY FILE.

a). Before the onset of the Cleaning exercise the Client should be handed over the Safety files unless otherwise.

b). Depending on the gravity and duration of the Cleaning exercise others may not require Safety Files.

c).After the Completion of the Cleaning exercise, the Client to handover back the Safety files to the Company.

2:62.CLEANERS / CASUAL WORKERS AT SITE.

a).All Staff executing the Cleaning exercise should be noted down.

b).Cleaners/ Casual Workers Registers should be availed to the Client for his or her perusal.

2:63.NOTED DISCREPANCIES.
a).All visible discrepancies which may impede Cleaning exercise implementation should be noted down.

b).Areas or portions with discrepancies should be photographed.

c).All photos to be attached to this document before it is validated.

d).The discrepancies in this context are those portions or areas damaged BUT not part of the Cleaning exercise implementation.
e). Discrepancies to be noted down to avoid future claims from the Client.

2:64.RETENTION OF CLEANING MATERIALS EMPTY CONTAINERS DECLARATION.

a).All empty containers of used Cleaning materials should not be thrown away.

b).These are to be returned to the Client as a proof of the material was actually used during Cleaning exercise.

2:65:2.Any Party shall be entitled from time to time by written notice to the other(s) to vary it’s domicilium Address to any other Address in the Republic of United Kingdoms (UK), which is not a Post Office Box or Post Restante.

2:65:3.All notices given in terms of this Agreement/ Acceptance of Terms and Conditions shall be in writing and any notice given by any Party to another ( the address) which-.

2:65:3:1.is delivered by hand or transmitted by email to the address at its domicilium Address shall be deemed to have been received by the addressee on the date of delivery or transmission as the case may be and

2:65:4.Not withstanding anything to the contrary contained or implied in this Agreement/ Acceptance of Terms and Conditions a written notice or Communication actually received by the nominated Party herein from another including by way of email transmission shall be adequate written notice or Communication to such Party

2:66.CONFIDENTIALITY

We respect the privacy of our Clients and take a committment to keep any personal information collected during the provision of Cleaning Services Confidential.
This includes any access information, health and safety concerns and financial details shared for payment purposes.

2:67.MODIFICATION OF TERMS.

We reserve the right to modify these terms and conditions at any time.
Any changes will be posted on our website and communicated to Clients prior to their next scheduled Cleaning Service.
The revised terms will apply to all future Services provided after change.

2:68. GENERAL.

2:68:1.This Agreement/ Acceptance of Terms and Conditions read with appendices constitute the sole record of the Agreement/ Acceptance of Terms and Conditions between the Parties in regard to the subject matter hereof.

2:68:2.No Party shall be bound by any representation, warranty, undertaking promise or like not recorded in this Agreement/ Acceptance of Terms and Conditions.

2:68:3.No addition to variation or consensual cancelling or novation of this Agreement/ Acceptance of Terms and Conditions shall be of any force unless done in writing and signed by or on behalf of all Parties.

2:68:4.Any indulgence which any Party may show to any other in terms of or pursuant to the provision contained in this Agreement/ Acceptance of Terms and Conditions shall not constitute a waiver of any of the rights of the Party which granted such indulgence.

2:68:5.Neither this Agreement/ Acceptance of Terms and Conditions nor any rights or obligations hereunder may be assigned by any Party to the third Party, without the prior written consent of the other Party which consent shall not unreasonably be held in the event the other Party consent in writing to an assignment of rights or obligations under this Agreement/ Acceptance of Terms and Conditions, the assigning Party and the assignee shall be jointly and severally liable for compliance with all confidentiality and restricted use of obligations related to the interest of the assigned.

2:68:6.This Agreement/ Acceptance of Terms and Conditions may be assigned in a separate counterparts, each of which shall be deemed to be an original and all of which taken together shall constitute one and the same Instrument.

2:68:7.Each of the person signing on behalf of the Parties to this Agreement/ Acceptance of Terms and Conditions warrants that each Party acts as a Principal ( and not as an Agent for an undisclosed Principal) and has full power, authority and legal right to execute , deliver and perform their obligations imposed on it in terms of this Agreement/ Acceptance of Terms and Conditions and will be duly authorised by all necessary actions of the Party concerned and its Officers and Officials and that any obligations arising from this Agreement/ Acceptance of Terms and Conditions are valid and binding on the Party concerned.

2:69.GOVERNING LAW.

2:69:1.These terms and conditions shall be governed and constructed in accordance with the Laws of England and Wales and the Parties submit to the exclusive jurisdiction of the Courts of England and Wales.

2:69.2.The Contract Act 1999 and Common Law Principles govern these Agreement terms and conditions that are outlined in this Contract will fall under this body of Law.

2:69:3.Sale of Goods and Services Act 1983.
This Act requires that Services provided ( such as Cleaning and Training) must meet certain expectations of quality and Completed with a reasonable time frame.

2:69:4.Consumer Rights Act 2015.
This Legislation outlines the rights of Consumers when they enter Contracts with Business, ensuring that Services are provided with reasonable care and skill.

2:69:5.The provision of this Agreement/ Acceptance of Terms and Conditions shall bind the Parties and will remain in effect for an period of 24 months following termination of this Agreement/.
